IMPORTANT — PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE ACCESSING OR USING LEDGILITY TRADERS WEBSITES, RESEARCH, SUBSCRIPTIONS, MEMBERSHIPS, COURSES, COMMUNITIES, OR DIGITAL PRODUCTS. THESE TERMS CONTAIN IMPORTANT DISCLAIMERS, LIMITATIONS OF LIABILITY, PAYMENT TERMS, AND DISPUTE-RESOLUTION PROVISIONS.
Introduction
These Terms of Service (“Terms”) govern your access to and use of Ledgility Traders websites, landing pages, email publications, research reports, memberships, subscriptions, courses, communities, digital products, downloadable materials, and related services (collectively, the “Services”). For purposes of these Terms, “Ledgility Traders,” “Ledgility,” “we,” “our,” and “us” refer to the operator of Ledgility Traders and its related digital properties and services. By accessing or using the Services, subscribing to a free or paid publication, creating an account, placing an order, purchasing a subscription, or otherwise interacting with Ledgility Traders, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Services.
1. ELIGIBILITY AND WEBSITE USE
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use Ledgility Traders Services. By using the Services, you represent and warrant that: • you are at least 18 years old; • you have legal capacity to enter into these Terms; • the information you provide is accurate and complete; • you will use the Services only for lawful purposes; and • you will comply with these Terms. Ledgility Traders may refuse service, restrict access, suspend accounts, or terminate access where we reasonably believe these Terms have been violated.
2. PRIVACY POLICY
Your use of the Services is also governed by our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.
3. GENERAL USER CONDUCT
You agree not to use the Services to: • violate any law or regulation; • attempt unauthorized access; • interfere with security or operation; • scrape, copy, harvest, or systematically extract content without permission; • reverse engineer proprietary tools or materials; • upload malicious code; • impersonate another person; • submit false or misleading information; • use another person’s account without authorization; • publish unlawful, defamatory, harassing, or infringing content; • distribute Ledgility Traders content in violation of these Terms; or • damage Ledgility Traders or other users.
4. LEDGILITY TRADERS SERVICES
Services may include free monthly swing trade research reports, market commentary, educational emails, Speculation Station research, Ledgility Traders Pro swing trading research and training, paid memberships, research subscriptions, swing trading education, courses, downloadable checklists and workbooks, trade journals, portfolio and trade tracking, digital publications, communities, market-analysis content, videos, and other research or educational products. Content, structure, features, frequency, and availability may change. We may add, remove, modify, or discontinue features or products at our discretion.
5. NO PERSONALIZED INVESTMENT ADVICE
Ledgility Traders is a financial publishing and educational service. It does not provide individualized investment advice, manage money, execute trades on your behalf, or make investment decisions for you. Nothing in our websites, research, emails, courses, videos, communities, trade trackers, watchlists, price targets, scenarios, stock or swing trade ideas, Speculation Station reports, educational materials, or other content is individualized financial, investment, legal, tax, insurance, or professional advice. You are solely responsible for evaluating suitability based on your financial circumstances, objectives, risk tolerance, time horizon, portfolio, income, net worth, and other factors. Consider consulting appropriately licensed professionals.
6. INVESTMENT AND TRADING RISKS
Trading and investing involve substantial risk. You may lose some or all capital invested. Securities may rise or fall, experience significant volatility, gap between sessions, decline due to company-specific or market conditions, or become illiquid. Swing trading, speculative investing, and options trading may involve heightened risk. Speculation Station specifically analyzes speculative, higher-risk opportunities with a wide range of outcomes; a featured company may substantially outperform, underperform, or lose most or all of its value. Past performance does not guarantee future results. Historical returns, model portfolios, trade histories, hypothetical examples, scores, targets, scenarios, backtests, and prior outcomes are not promises of future performance. Never risk money you cannot afford to lose.
7. RESEARCH, OPINIONS, TARGETS, AND MARKET DATA
Research reflects opinions and analysis at publication. Markets change rapidly and content may become outdated without notice. Price targets, entry or add zones, scale-out levels, support or resistance, valuation estimates, bull/base/bear cases, research scores, watchlists, projected returns, scenarios, and analytical frameworks are estimates or opinions, not guarantees. We do not promise any security will reach a price or return. Third-party data believed reliable may be incomplete, delayed, or inaccurate.
8. OWNERSHIP OF SECURITIES AND CONFLICTS
Ledgility Traders and associated persons may own securities discussed and may buy or sell them before or after publication, subject to law and internal policies. Relevant disclosures may appear in individual reports. Do not assume positions will continue to be held after publication.
9. AI-ASSISTED RESEARCH
Ledgility Traders may use artificial intelligence, data-analysis tools, research platforms, automation, and other technology to gather information, organize research, summarize sources, perform financial or scenario analysis, screen companies, draft educational content, and support editorial workflows. AI-assisted content may contain errors or omissions. Human review does not guarantee accuracy. Independently verify important information before acting.
10. ACCOUNT REGISTRATION AND SECURITY
Certain Services may require an account. Provide accurate and current information, keep credentials confidential, do not share paid access with unauthorized users, notify us of suspected unauthorized access, and accept responsibility for account activity. We may suspend or terminate accounts reasonably believed shared, abused, compromised, or used in violation of these Terms.
11. SUBSCRIPTIONS AND RECURRING BILLING
Certain Services are recurring subscriptions. By purchasing, you authorize Ledgility Traders and its payment providers to charge your selected method automatically at the stated interval until canceled. Speculation Station may use introductory or promotional pricing, then renew at the disclosed recurring rate. Ledgility Traders Pro is billed at checkout pricing unless stated otherwise. Exact price, billing frequency, renewal terms, and introductory offers appear before purchase. Review them before payment.
12. CANCELLATION
You may cancel a recurring subscription through available account tools or customer support. Unless law or checkout terms state otherwise: • cancellation stops future renewals; • it does not retroactively refund previous charges; and • access may continue through the paid period. Introductory subscriptions renew at the regular disclosed rate unless canceled before renewal.
13. REFUNDS
Because Ledgility Traders provides immediately accessible digital research, publications, memberships, courses, and content, purchases are generally non-refundable except where required by law, expressly stated in a product-specific guarantee or checkout term, or approved at our discretion. Cancellations generally apply prospectively. Investment and trading losses are never refundable. IMPORTANT DEVELOPMENT NOTE: If a specific refund window or money-back guarantee is adopted, this section must be updated to match that policy.
14. PAYMENT TERMS
Prices are generally in U.S. dollars. By submitting payment information, you represent you are authorized to use the method, information is accurate, sufficient funds or credit are available, and you authorize checkout charges. Processing may be handled by Stripe, Kajabi Payments, or other providers. We are not responsible for bank, card issuer, or provider fees. Failed payment may suspend paid access.
15. PRICING AND PRODUCT CHANGES
Ledgility Traders may change pricing, subscription fees, features, names, content frequency, membership benefits, or availability. Recurring price changes will be communicated where legally required before charging. Offers are void where prohibited.
16. DIGITAL CONTENT LICENSE
All content is protected by intellectual-property laws. Subject to these Terms, Ledgility grants a limited, revocable, non-exclusive, non-transferable, non-sublicensable license for personal, non-commercial access to purchased or subscribed reports, newsletters, videos, presentations, spreadsheets, checklists, workbooks, courses, research, graphics, trackers, documents, and community content. You may not resell, republish, publicly upload, distribute, share credentials, commercially copy substantial portions, create derivative commercial products, scrape, or otherwise exploit Ledgility Traders intellectual property without written permission.
17. EDUCATIONAL PRODUCTS
Training, courses, and instructional materials are educational. Ledgility Traders is not an accredited institution. Courses do not grant academic credit, confer degrees or licenses, replace regulated financial education, guarantee trading success, or guarantee profitability. You are responsible for application.
18. COMMUNITY PARTICIPATION
Community participants must act respectfully and lawfully. We may remove content or restrict participation for harassment, spam, unlawful content, abuse, impersonation, repeated promotion, intellectual-property violations, or disruption. Member opinions are their own; Ledgility Traders does not necessarily endorse them and is not responsible for decisions based on community posts.
19. USER SUBMISSIONS
If you submit comments, reviews, testimonials, messages, feedback, suggestions, or other content, you represent you have the right to do so. Unless agreed otherwise, feedback may be used to improve Services without compensation. Private communications will not be publicly used as endorsements without appropriate permission.
20. SOCIAL MEDIA
Ledgility Traders may maintain accounts on YouTube, Facebook, Instagram, X, LinkedIn, Reddit, and other platforms. Third parties operate these platforms under their own terms and privacy policies. External user comments do not necessarily reflect Ledgility Traders’ views.
21. THIRD-PARTY LINKS AND SERVICES
Content may link to brokerages, financial-data providers, news, investor-relations pages, social platforms, third-party research, software, education, or other websites for convenience. We do not control and are not responsible for third-party content, availability, security, accuracy, terms, or privacy. Use them at your own risk.
22. INTELLECTUAL PROPERTY AND COPYRIGHT
Original Ledgility Traders branding, reports, writing, graphics, courses, spreadsheets, templates, videos, images, and related materials are owned by or licensed to Ledgility unless stated otherwise. Unauthorized reproduction or distribution is prohibited.
23. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. LEDGILITY TRADERS MAKES NO EXPRESS OR IMPLIED GUARANTEE REGARDING ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY, AVAILABILITY, FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, NON-INFRINGEMENT, INVESTMENT PERFORMANCE, TRADING OUTCOMES, OR RESULTS. SERVICES MAY BE INTERRUPTED, ERROR-PRONE, OR CONTAIN HARMFUL COMPONENTS.
24. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDGILITY TRADERS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES RELATING TO USE, INVESTMENT OR TRADING DECISIONS, TRADING LOSSES, LOST PROFITS OR DATA, BUSINESS INTERRUPTION, RELIANCE, ACCOUNT ACCESS, OR THIRD-PARTY SERVICES. Where liability cannot be excluded, aggregate liability is limited to the greater of (a) amounts paid during the 12 months before the claim or (b) $100.
25. INDEMNIFICATION
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Ledgility Traders and its owners, officers, employees, contractors, affiliates, and agents from claims, liabilities, damages, losses, or expenses arising from your violation of these Terms, unlawful use, violation of another person’s rights, or submitted content.
26. TERMINATION
We may suspend or terminate access for violation, nonpayment, fraud, unauthorized sharing, abuse, security concerns, or unlawful activity. Obligations that should survive do survive, including payment, intellectual-property restrictions, disclaimers, liability limits, indemnification, and dispute resolution.
27. ELECTRONIC COMMUNICATIONS
By using the Services, you consent to electronic communications about purchases, subscriptions, accounts, reports, membership administration, service notices, legal notices, and transactional matters. Marketing emails may be unsubscribed from using the provided mechanism.
28. DISPUTE RESOLUTION
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. Except where prohibited or eligible for small-claims court, disputes relating to these Terms, Services, or your relationship with Ledgility Traders will be resolved through individual binding arbitration rather than court. Claims are individual; no class or representative action; no jury in arbitration; judicial review is limited; and the Federal Arbitration Act governs where applicable. Informal Resolution First: written notice and at least 30 days for good-faith resolution are required. Small Claims: either party may bring an eligible individual claim. Opt-Out: Users may opt out within 30 days of first accepting these Terms by written notice to [INSERT ARBITRATION OPT-OUT EMAIL OR MAILING ADDRESS], including name, account email, and a clear opt-out statement. 29. GOVERNING LAW
These Terms are governed by applicable United States law and the law of the state where Ledgility Traders is legally organized or principally operates, without regard to conflicts principles. Governing State: [INSERT STATE]
30. ASSIGNMENT
You may not assign or transfer rights under these Terms without written consent. Ledgility Traders may assign them in a merger, acquisition, reorganization, asset sale, or similar transaction.
31. NO WAIVER
Failure to enforce a provision is not a waiver of that or any other provision.
32. SEVERABILITY
If a provision is unlawful, invalid, or unenforceable, it will be enforced to the maximum extent permitted and remaining provisions remain effective.
33. ENTIRE AGREEMENT
These Terms, the Privacy Policy, Full Investment & Risk Disclosure, product-specific checkout terms, and incorporated policies are the entire agreement regarding the Services.
34. CHANGES TO THESE TERMS
We may update these Terms periodically and will update the “Last Updated” date. Continued use after revised Terms become effective constitutes acceptance to the extent permitted by law.
